Vaisala Oyj along with its affiliated companies ("Vaisala") aims to maintain the highest possible ethical standards. Vaisala is aiming to avoid any impropriety in the actions of its directors, officers, associates and employees throughout its worldwide operations. The guidelines and restrictions described herein are designated to comply with any anti-corruption laws worldwide and to avoid the appearance of any questionable conduct in connection with Vaisala's operations.
This Policy applies to all Vaisala employees worldwide. This Policy also applies to Vaisala's international representatives, consultants, joint venture partners and any other representatives when acting on Vaisala's behalf and should the anti-corruptive legislation be stricter in any jurisdiction other that Vaisala's domicile country, such stricter laws and regulations shall prevail.
This Policy contains basic standards of conduct and practices that must be followed in representing Vaisala before any third parties, whether authorities or third party private individuals.
1. The use of Vaisala's funds, assets or personnel for any unlawful, improper or unethical purpose is prohibited. The business of Vaisala is expected to be conducted in accordance with all applicable laws in the countries or areas where Vaisala does business. Vaisala personnel must strictly avoid any activity that might involve Vaisala in any violation of this Policy or any local laws or regulations.
2. Vaisala employees or associates are prohibited from directly or indirectly making, promising, authorizing or offering anything of value to public officials or any third party individuals on behalf of Vaisala. This prohibition shall apply in all circumstances and not be limited in any manner, except as provided below ("Promotional Gifts").
3. Promotional gifts of nominal value may be given as a courtesy, as token of regard or esteem, or to promote goodwill. Such gifts must be small in relation to the recipient's salary and should generally bear Vaisala's logo or trademark. Gifts or other items of value may not be given to influence any act or decision of a person in his or her official capacity.
4. Cash payments of any kind to a third party to influence any act or decision of a person in his or her official capacity are strictly prohibited.
5. Employees of Vaisala who violate this Policy are subject to disciplinary action, up to and including dismissal. Vaisala's representatives, consultants or alike who violate this Policy are subject to termination of all commercial relationships with Vaisala.
